By accessing our website or engaging our services, you ("Client," "you," or "your") agree to comply with and be bound by these Terms.
1. Acceptance of Terms
By accessing our website, submitting a contact form, or entering into a service agreement with Xperion Marketing, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy.
If you do not agree with any part of these terms, you must discontinue use of our website and services immediately. We reserve the right to modify these terms at any time, and your continued use constitutes acceptance of any such modifications.
These Terms apply to all visitors, users, clients, and others who access or use our website and services.
2. Services Description
Xperion Marketing provides a range of digital marketing and technology services, including but not limited to:
- Search Engine Optimization (SEO): On-page, off-page, and technical SEO strategies to improve search engine rankings and organic traffic
- Local SEO: Google Business Profile optimization, local citation building, and geo-targeted marketing campaigns
- Leads Generation: Targeted campaigns, funnel development, and conversion optimization strategies to generate qualified leads
- Graphic Designing: Brand identity design, social media graphics, marketing collateral, and visual content creation
- Website Development: Custom website design and development, responsive layouts, e-commerce solutions, and CMS integration
- AI Automation: AI-powered chatbots, workflow automation, intelligent data analysis, and process optimization solutions
The specific scope, deliverables, timelines, and pricing for each project will be outlined in a separate service agreement or proposal provided to the client prior to commencement of work.
3. Client Responsibilities
As a client of Xperion Marketing, you agree to the following responsibilities:
- Provide accurate, complete, and timely information, content, and materials necessary for the execution of services
- Grant necessary access to websites, hosting accounts, analytics platforms, social media accounts, and other relevant tools as required
- Review and provide feedback on deliverables within the agreed-upon timeframes
- Ensure that all content, images, trademarks, and materials provided to us do not infringe upon any third-party intellectual property rights
- Comply with all applicable laws, regulations, and industry standards related to your business and marketing activities
- Maintain current and valid contact information for effective communication
- Notify us promptly of any changes to your business that may affect the services being provided
Delays caused by the client's failure to fulfill these responsibilities may result in extended timelines and are not the liability of Xperion Marketing.
4. Payment Terms
The following payment terms apply to all service engagements with Xperion Marketing:
- All fees, rates, and pricing will be clearly outlined in the service agreement or proposal provided before work begins
- A non-refundable deposit (typically 50% of the total project cost) is required before commencement of any work, unless otherwise specified
- Remaining balances are due upon project completion or according to the payment schedule outlined in the agreement
- For ongoing/retainer services, invoices are issued monthly and payment is due within 7 business days of the invoice date
- Late payments may incur a fee of 2% per month on the outstanding balance
- All prices are quoted in the currency specified in the agreement and are exclusive of applicable taxes unless stated otherwise
- We reserve the right to suspend services for accounts with overdue balances exceeding 14 days
Accepted payment methods will be communicated during the onboarding process.
5. Intellectual Property
Intellectual property rights are governed by the following terms:
- Client Ownership: Upon full payment, the client receives ownership rights to the final deliverables specifically created for their project, including custom designs, content, and code
- Pre-Existing IP: Xperion Marketing retains all rights to pre-existing intellectual property, tools, frameworks, templates, and methodologies used in delivering services
- Third-Party Assets: Any third-party assets (stock images, fonts, plugins, libraries) remain subject to their respective licenses and terms
- Portfolio Usage: We reserve the right to display completed work in our portfolio, case studies, and promotional materials unless a written non-disclosure agreement (NDA) is in place
- Source Files: Source files, working files, and raw project files are provided only if explicitly agreed upon in the service agreement
Any unauthorized reproduction, distribution, or modification of our intellectual property is strictly prohibited and may result in legal action.
6. Limitation of Liability
To the maximum extent permitted by applicable law:
- Xperion Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
- Our total aggregate liability for any claims arising from or related to our services shall not exceed the total fees paid by the client in the 12 months preceding the claim
- We do not guarantee specific results from SEO, marketing, or advertising campaigns, as outcomes depend on numerous external factors including market conditions, competition, algorithm changes, and client cooperation
- We are not responsible for any losses resulting from third-party services, platform policy changes, or disruptions beyond our reasonable control
- The client acknowledges that digital marketing involves inherent uncertainties and that past performance does not guarantee future results
Nothing in these Terms shall limit or exclude liability for fraud, willful misconduct, or any liability that cannot be limited or excluded under applicable law.
7. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the business relationship:
- Confidential information includes, but is not limited to, business strategies, marketing plans, financial data, customer information, trade secrets, and proprietary methodologies
- Neither party shall disclose confidential information to any third party without prior written consent, except as required by law
- Confidentiality obligations survive the termination of the service agreement for a period of 2 years
- Each party shall implement reasonable security measures to protect the other party's confidential information
- Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction
Any breach of confidentiality may result in immediate termination of services and potential legal remedies.
8. Termination
Either party may terminate the service agreement under the following conditions:
- Client Termination: The client may terminate services by providing 14 days' written notice. Fees for work completed up to the termination date will be due and payable
- Company Termination: Xperion Marketing may terminate services immediately if the client breaches these Terms, fails to make timely payments, or engages in unlawful or unethical conduct
- Mutual Termination: Both parties may agree to terminate the agreement at any time by mutual written consent
- Refund Policy: The initial deposit is non-refundable. Refunds for unused portions of prepaid retainer services will be considered on a case-by-case basis
- Post-Termination: Upon termination, the client will receive all completed deliverables for which payment has been received. Access to ongoing services, accounts, and tools managed by Xperion Marketing will be revoked
Sections relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination of the agreement.
9. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan.
In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue formal legal proceedings.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
